    We are seeking an experienced Company Secretary & Head of Legal with 10+ years of post-qualification experience to lead all secretarial and legal functions. This role will combine statutory compliance under the Companies Act, SEBI, RBI, and other applicable regulations with oversight of corporate governance, contract management, labour law compliance, and general legal advisory. The candidate will function as a key member of the leadership team, reporting directly to the Board/Managing Director.


    Key Responsibilities

    Company Secretarial & Compliance (as per Companies Act, 2013 and allied rules)

    • Convene and manage Board, shareholder, and committee meetings: drafting agenda, notices, minutes, attendance registers, resolutions, and circulation records.
    • Ensure timely statutory filings with ROC: AOC-4, MGT-7, PAS-6, ADT-1, DIR-3 KYC, return of deposits, MSME returns, and other prescribed filings.
    • Coordinate Annual General Meetings and related approvals (financial statements, auditors’ appointments, directors’ disclosures).
    • Maintain statutory registers and records (members, directors/KMP, loans/guarantees/securities, charges, contracts, disclosures of interest, etc.).
    • Draft and file Board Reports, including annexures and certifications (MGT-8, etc.).
    • Manage alterations to MOA/AOA, change of registered office, capital restructuring, or other statutory changes.
    • Oversee shareholder matters: issuance, transfer, transmission, dematerialization, and reconciliation of share capital.
    • Monitor compliance with shareholders’ agreements, Articles of Association, and corporate governance frameworks.
    • Prepare and certify e-forms and ensure regular updates of ROC records.
    • Stay abreast of amendments to company law and provide updates/advisory to management.

    Regulatory & Labour Law Compliance

    • Oversee compliance under MLWF, EPF, ESIC, Maternity Benefit Act, POSH Act, and other applicable labour regulations.
    • Constitute and manage internal committees (including POSH Committee) and ensure statutory filings, registers, and signages are in place.
    • Liaise with labour authorities, manage inspections, and respond to routine queries.

    Legal (Corporate & Commercial)

    • Draft, vet, and negotiate a wide range of commercial agreements: lease & license agreements, vendor contracts, client agreements, NDAs, consultancy agreements, service contracts, etc.
    • Provide in-house legal advisory across business functions including HR, operations, leasing, and finance.
    • Manage dispute resolution and litigation: liaise with external counsel, prepare responses to notices, and coordinate strategy.
    • Conduct basic due diligence for property/lease acquisitions and vendor/client onboarding.
    • Safeguard intellectual property through timely registration and renewals (trademarks, copyrights).
    • Maintain and review insurance contracts and company legal policies.

    Strategic Advisory & Leadership

    • Advise the Board and senior management on corporate governance best practices and risk management.
    • Support in fund-raising transactions (rights issue, private placement, SHA/SSA documentation in coordination with external counsel).
    • Establish and maintain internal policies and frameworks for compliance monitoring.
    • Lead the legal and secretarial team; mentor juniors, and build scalable processes.

    Qualifications & Experience

    • Qualified Company Secretary
    • 10+ years of experience in company secretarial practice and legal advisory, preferably with exposure to corporate/real estate/managed office sectors.
    • Strong knowledge of Companies Act, FEMA, RBI filings, SEBI guidelines, and labour laws.
    • Demonstrated experience in contract drafting, negotiations, and dispute management.
    • Excellent communication, drafting, and stakeholder management skills.
    • High integrity, attention to detail, and ability to operate independently.
